This Agreement is made and entered into on this _ day of , 20, by and between:

The Provider: Smart Talk Solutions (hereinafter referred to as “the Company”), accessible via https://smarttalksolutions.com/.

And

The Client: [Client.FirstName] [Client.LastName] / [Client.Company] (hereinafter referred to as “the Client”).

  1. Definitions and Interpretation
    In this Agreement, the following expressions have the following meanings:

“SEO Services” means the search engine optimization services to be provided by Smart Talk Solutions as detailed in Schedule 1.

“Designated Search Engines” means the search engines approved for targeting under this agreement.

“Deliverables” means any text, graphics, code, or reports produced by Smart Talk Solutions for the Client.

  1. Engagement of the Company
    The Client hereby engages Smart Talk Solutions, and Smart Talk Solutions hereby accepts the engagement, to provide the SEO Services in accordance with the terms and conditions of this Agreement.
  2. Nature of Engagement
    Smart Talk Solutions acts as an independent contractor. Nothing in this Agreement shall create a partnership, joint venture, or relationship of employer and employee between the parties.
  3. The SEO Services
    Smart Talk Solutions has been granted permission to use the specific keywords and/or phrases for developing and improving the ranking of the Client’s site(s) in approved search engines.

The scope of work can range from the optimization of individual web pages to work tailored to specific search engines as outlined in Schedule 1.

  1. Consideration (Fees & Payment)
    Payment under this service agreement may take the form of a flat fee or an initial fee followed by a series of milestone payments as defined in accompanying invoices.

All fees and deposits are non-refundable.

The fee paid by the Client serves as consideration for the assignment of the copyright (and any other IP rights) in the work produced by Smart Talk Solutions.

  1. Intellectual Property
    Upon full payment of all fees due, any copyright or other intellectual property rights created by Smart Talk Solutions in the course of providing the services shall be assigned to the Client.

[Client.FirstName] [Client.LastName] guarantees all elements of text, graphics, photos, designs, trademarks, or other artwork provided to Smart Talk Solutions to be their property, or that they have obtained valid permission from the rightful owner.

  1. Company’s Warranties and Indemnity
    Smart Talk Solutions represents and warrants that no interest or obligations exist which would prevent, limit, or impair performance of any part of this agreement.

Smart Talk Solutions agrees to indemnify the Client against third-party claims of intellectual property infringement arising directly from deliverables created solely by the Company.

  1. Client’s Warranties and Indemnity
    The Client agrees to indemnify and hold harmless Smart Talk Solutions against any claims, losses, or penalties resulting from the content or materials provided by the Client for optimization.
  2. Confidentiality
    Both parties agree to keep all proprietary information, trade secrets, website analytics, and business strategies disclosed during the course of this project strictly confidential.

Terms and Conditions & Performance Disclaimer
Note: The terms and conditions portion of this agreement outlines the applicable limitations of search engine optimization capabilities.

Smart Talk Solutions has no claim or control over any participating search engine directory or regulations. If at any point the Client’s property is excluded from said services, it will not be at the fault of Smart Talk Solutions.

Smart Talk Solutions does not guarantee any search engine rankings for specific keywords due to the complex, competitive, and constantly changing nature of SEO.

The Client recognizes that some websites will drop listings for no apparent reason. Smart Talk Solutions will not be held liable for any penalties or dropped listings abstained from search engine sites.

[Client.FirstName] [Client.LastName] understands site rankings change and can fluctuate any day, any time because of ongoing changes in the ranking algorithm. Actual ranking placement may take months to achieve due to the “Boosting Effect” and the Client will expect reasonable results as such.

Termination
Note: This area lists the conditions under which this agreement will come to an end.

This agreement will come to an end if any of the following occur:

All deliverables completed.

Either party enters bankruptcy.

Any obligations of the agreement become impossible to achieve due to man-made calamities (War, Terrorism, Riots, etc.) or any natural calamities (Flood, Hurricane, Volcano).

Both parties approve written terms of termination.

Project Timeline and Interference Policy
Furthermore, Smart Talk Solutions makes no guarantee/warranty of project timeline or need for additional expenses if any of the following occur without prior written notification to the Company:

Any file additions, or changes to folder, web document, widget, or any functionality.

Location of file changes (either to different domain or folder).

Any modifications to text on a web document or in the title tag occurs, or any removing of certain HTML tags required for site authentication.

Removing analytics code from the web page which is used to track website traffic.

Renaming URLs of existing web documents.

Taking down the website or any portion of the website.

  1. Nature of the Agreement
    This Agreement constitutes the entire agreement between the parties and supersedes all previous agreements or understandings.
  2. Severance
    If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  3. Notices
    All notices required under this agreement shall be sent via electronic mail to the authorized representatives of Smart Talk Solutions and the Client.
  4. Alternative Dispute Resolution
    In the event of a dispute, the parties agree to attempt to resolve the issue through friendly negotiation or structured mediation before pursuing legal litigation.
  5. Law and Jurisdiction
    This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Smart Talk Solutions operates.
